Abstract：Dutch New Civil Code of 1992 was innovated both contents and forms which was widely deliberated the successful legislative experience of the two mail civil law systems and based on valuable judicial precedents and the oties．It complied with the social process and the trend of the civil law．It fully showed the New Civil Code Was open、harmony and modem．It Was honored“the most modem civil code among the code systems”by many countries，such as France and Germany．Researching and studying the Dutch Civil Code Can provide scientific thoughts and profound enlightenment for Chinese Civil Code which is being made now．
